Terms of Use, Professional Services Terms & Disclaimer

This website, including the XGRIDS Pro Guide (the "Guide"), the XGRIDS member store, the DJI Enterprise store, and all professional services provided by Alpine Reality Capture LLC ("Company," "we," "us," or "our") are governed by the following Terms. By accessing or using the website, purchasing hardware, purchasing digital products, engaging our consulting or laser scanning services, or otherwise interacting with the Company, you agree to these Terms.


1. Scope of Terms

These Terms apply to:

  • Use of this website and the XGRIDS Pro Guide;
  • Purchase of hardware through the XGRIDS member store and the DJI Enterprise store;
  • Purchase of digital products and software;
  • Consulting and professional services;
  • Laser scanning, reality capture, data delivery, and related services.

If you and the Company enter into a separate written services agreement, that agreement governs your specific engagement and, to the extent inconsistent, controls over these Terms.

Professional services engaged under an accepted proposal, signed services agreement, or written scope of work are also covered by the Alpine Promise, our published service guarantee at alpinerealitycapture.com/alpine-promise. The Alpine Promise is the controlling warranty for those services. In the event of any conflict between these Terms and the Alpine Promise as applied to professional services, the Alpine Promise controls.

Hardware purchases are governed by our Hardware Returns and Refunds Policy. The Returns Policy controls over these Terms in the event of any conflict relating to a hardware return, refund, manufacturer warranty claim, or defective on arrival (DOA) claim.


2. Written Scope Requirement

All consulting, scanning, field work, and professional services require a written scope of work (e.g., proposal, estimate, work order, or service agreement) agreed to by both parties before any services are rendered. Verbal descriptions of projects or implied instructions are not sufficient.


3. Informational Content Disclaimer

The Guide and other educational content on this website reflect our interpretation of publicly available documentation and field experience. This material is for general informational and educational purposes only and is not a substitute for manufacturer documentation, professional training, engineering review, legal advice, regulatory compliance analysis, or site-specific safety assessments.

You are solely responsible for independently verifying all procedures and determining suitability for your intended use.


4. Professional Services Disclaimer

Consulting, laser scanning, and related services are provided according to a defined written scope. Unless covered by the Alpine Promise or explicitly stated in a signed agreement, we make no warranty or guarantee:

  • That services constitute engineering, land surveying, or legal certification;
  • That services will satisfy regulatory or contractual obligations;
  • That services or deliverables will be suitable for construction layout or other critical applications without independent verification;
  • That services will be error-free or uninterrupted.

5. Data & Accuracy Limitations

Deliverables, including point clouds, 3D models, measurements, and reports, are subject to site conditions, occlusions, equipment specifications, calibration, and human factors. Unless otherwise defined in a written service agreement, no warranty is made as to absolute accuracy.

Clients are responsible for verifying deliverables before relying on them for critical decisions, contracts, or construction purposes.


6. No Warranties

a. Website and Guide Content

ALL WEBSITE CONTENT AND GUIDE MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

b. Professional Services

Professional services are covered by the Alpine Promise, which is the controlling warranty for consulting, scanning, modeling, reality capture, and related deliverables engaged under an accepted proposal, signed services agreement, or written scope of work. Outside the scope of the Alpine Promise (for example, deliverables used for purposes outside the agreed scope, or work performed without a written scope), services are provided "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

c. Hardware

Hardware sold through Alpine Reality Capture is covered by the original manufacturer's warranty and governed by the manufacturer's own warranty terms. Alpine makes no separate hardware warranty beyond what the manufacturer provides.


7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ALPINE REALITY CAPTURE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

FOR PAID SERVICES, THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM.

For hardware purchases, the Company's aggregate liability for any claim arising from a hardware order shall not exceed the amount paid by you for the specific item giving rise to the claim, and shall not include manufacturer warranty matters, which are governed by the manufacturer.

If you and Alpine Reality Capture have entered into a signed services agreement, the limitation of liability provisions in that agreement control over the limitation in this Section 7 for any dispute covered by that agreement.

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).


8. Non-Reliance & Assumption of Risk

You acknowledge that you are not relying on the Company's website or Guide content as a substitute for your own independent judgment, professional expertise, or site-specific analysis.

You assume all risks associated with implementation, deployment, interpretation of deliverables, regulatory reliance, and professional decision-making.


9. Enhanced Indemnification

To the fullest extent permitted by applicable law and not inconsistent with public policy, you agree to defend, indemnify, and hold harmless Alpine Reality Capture LLC, its owners, officers, employees, contractors, affiliates, agents, successors, and assigns from and against any claims, losses, damages, costs, liabilities, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use or misuse of deliverables, hardware, or software;
  • Your reliance on website or Guide content;
  • Your modification, redistribution, or resale of data;
  • Your breach of these Terms;
  • Your violation of applicable law or third-party rights, including FAA regulations and other rules governing the operation of unmanned aircraft;
  • Claims by clients or project stakeholders in connection with your projects.

This indemnification obligation survives termination of your use or services by the Company.


10. Intellectual Property

All content on this website and in the Guide, including text, graphics, workflows, diagrams, branding, formatting, and educational materials, is the property of Alpine Reality Capture LLC unless otherwise stated. No content may be reproduced, distributed, modified, republished, transmitted, or used for commercial purposes without prior written permission.

Manufacturer trademarks, product names, and brand assets (including DJI, DJI Enterprise, and XGRIDS marks) are the property of their respective owners and are used in accordance with each manufacturer's brand guidelines.


11. Arbitration & Governing Law

Any dispute arising from these Terms shall be resolved exclusively through binding arbitration in the State of Utah under governing law, except where prohibited by statute.

You waive any right to participate in class actions or collective proceedings to the extent permitted by law.

These Terms shall be governed by and construed in accordance with the laws of the State of Utah.


12. Modifications

We reserve the right to update or modify these Terms at any time. Continued use of the website or engagement of services after updates constitutes acceptance of the revised Terms.
